About the terms and conditions
Access to and use of this website both within the UK and internationally is provided by TEP Technica Ltd on the following terms:
1.0 By using this website you agree to be bound by these terms, which shall take effect immediately on entering the site. If you do not agree to be bound by all of the following terms please do not access, use and/or contribute to this website
1.1 TEP Technica Ltd may change these terms from time to time and so you should check these terms regularly. Your continued use of our website will be deemed acceptance of the updated or amended terms. If you do not agree to the changes, you should cease using this website.
Using our website
2.0 You agree to use this website only for lawful purposes and in a way that does not infringe the rights of, restrict or inhibit anyone else's use and enjoyment of this site. Prohibited behaviour includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content or disrupting the normal flow of dialogue within this site.
Conditions
3.0 In these conditions 'The Company' means TEP Technica Ltd, Unit 45 Murrell Green Business Park, London Road, Hook, Hampshire, RG27 9GR. 'The Customer' means the person, firm or company contracting with The Company. 'The Goods' means any products and services of all kinds to be supplied by The Company.
3.1 'Conditions' means the standard terms and conditions of sale as set out in this document. These Conditions are the only Conditions upon which The Company is prepared to deal with The Customer and they solely govern any contract arising out of The Companies quotation or order acknowledgement however made, or performance to the exclusion of any other expressed or implied conditions. All terms implied by law, custom, practice or course of dealing and which are inconsistent with the Conditions are excluded to the maximum extent permitted by law.
Prices
4.0 Quotations and prices are subject to withdrawal and alteration at any time. Quotations, Price Lists, Web-site offers and any other publications of the Company's shall not constitute binding offers.
4.1 All prices are quoted excluding VAT, which will be added at the standard rate.
Delivery
5.0 Time of delivery is not of the essence. Whilst every effort is made to adhere to delivery estimates, The Company shall not be liable for any losses, costs, damages or expenses, however arising, suffered by The Customer or any other person or company.
Payment
6.0 Unless otherwise agreed in writing between The Company and the Customer, the Customer must make payment no later than 30 days from receipt of goods. If payment is not received in full when due, The Company reserves the right to charge interest on the unpaid amount at a rate of 8% above The Royal Bank of Scotland base lending rate. This entitlement to interest does not preclude The Company from the right to pursue any other right or remedy to collect said payment and to suspend all further deliveries without notice. Any costs incurred by The Company in collecting said payment will be charged to the customer.
Claims for Damage in Transit, Shortage in Delivery or Loss of Goods
6.1 If Goods are accepted without prior checking, or signed for 'unexamined', no claim whatsoever can be accepted by The Company. It is the responsibility of The Customer to inspect the goods immediately, sign the delivery note accordingly and inform The Company immediately of any alleged damage or shortages. The Company has no liability for any damage caused during off-loading.
Retention of Title
7.0 Risk in the goods supplied passes to The Customer on delivery. Legal title in such goods shall not pass to The Customer until The Company has received in cleared funds the full price payable for such goods and all other goods supplied by The Company to The Customer for which payment is then due.
7.1 Until legal title passes, The Customer shall hold the goods as The Company's fiduciary agent and bailee and shall keep them properly protected, insured and stored separately from any other goods (whether or not supplied by The Company). Until that time The Customer is entitled to resell or use the goods in the ordinary course of its business but shall account to The Company for the proceeds of sale and pending payment shall hold such proceeds on trust for The Company absolutely.
7.2 The Customer's right to resell or use the goods shall terminate automatically on the occurrence of any event set out in Condition 7b and/or if any sum owed to The Company by The Customer is not paid when due.
7.3 Until such time as legal title in the goods passes to The Customer The Company may at any time require The Customer, its liquidator, receiver or administrator to return the goods and/or may repossess the goods by entering upon any premises of The Customer or any third party where the goods are reasonably believed to be stored.
Product Information
7b Whilst The Company has made every effort to ensure that details and information given in both our printed and online publications are accurate at the time of issue The Company gives no guarantees as to the accuracy or completeness of such information. Full technical specifications are not necessarily included and furthermore, The Company's policy is one of continuous improvement and the right is reserved to alter details and information at any time as the need arises. Accordingly, The Customer should check any details and information they wish to rely on with The Company at the time of purchase. The Company accepts no liability in respect of any errors or omissions herein contained or for any loss or damage, malfunction or consequential loss arising from reliance upon our publications.
Warranty and Limits of Liability
8.0 The Company warrants to the customer that the goods are free from defects in workmanship and materials. The Company will repair or replace goods, which fail to give satisfactory service due to defective workmanship or materials. All other rights and remedies, whether expressed or implied by statute, common law custom or otherwise are hereby excluded.
8.1 The Company expressly disclaims and excludes any implied warranty of merchantability or fitness for a particular purpose or application.
8.2 Nothing in these terms and conditions excludes or limits the liability of The Company for death or personal injury caused by The Company's negligence or fraudulent misrepresentation.
8.3 The Company's total liability in contract, tort (including negligence or breach of statutory duty) misrepresentation or otherwise arising in the connection with the performance or contemplated performance of the contract shall be limited to the contract price: and
8.4 In no circumstances whatsoever shall The Company be liable to The Customer whether for breach of contract, in tort (including but not limited to negligence), breach of statutory duty, breach of warranty or otherwise for loss of profit, loss of use, loss of business, loss of goodwill, loss of contracts or any other economic, financial or monetary loss whatsoever that may be suffered by The Customer or for any other indirect or consequential loss whatsoever.
Force Majeure
9.0 The Company will not be under any liability whatsoever for non performance of its obligation, in whole or in part, as a result, directly or indirectly, of any strike, lock out, fire, flood, inability to obtain material, breakdown, delay, war, act of terrorism, insurrection, government act or regulation or any other cause (whether or not of a like nature) beyond The Company's control.
Cancellation
10.0 The Company reserves the right to implement a re-stocking charge of 25% of the price of the Goods, plus carriage costs incurred if The Customer cancels an order and returns the Goods.
10.1 Under no circumstances can The Customer cancel an order for non-stock or bespoke products, as these items are non-returnable.
Governing Law
11.0 The terms and conditions of sale shall in all respects be governed and construed in accordance with English Law.
